Terms of Service

TaskYea LLC ("Company," "we," "us," or "our") operates the TaskYea platform (the "Platform"). These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you and TaskYea LLC governing your access to and use of the Platform. BY CREATING AN ACCOUNT, ACCESSING, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

1. Nature of the Platform

TaskYea is a technology platform that provides a digital venue where individuals seeking assistance with tasks ("Clients") may discover and initiate contact with individuals who offer to perform such tasks ("Enthusiasts"). The Platform serves solely as a means of initial communication and connection between Users.

IMPORTANT — PLEASE READ CAREFULLY:

The Platform is a TECHNOLOGY TOOL for discovery and initial communication only. It is NOT a party to, guarantor of, or participant in any transaction, agreement, or arrangement between Clients and Enthusiasts.
Any interaction, communication, agreement, contract, or transaction that occurs between a Client and an Enthusiast — whether initiated through the Platform or otherwise — is solely between those two parties. The Platform merely facilitates the initial introduction.
No binding contract, employment relationship, or service agreement is formed through the Platform unless independently agreed to and understood by the parties actually involved. Task postings, bids, and messages on the Platform represent preliminary expressions of interest only and do not constitute enforceable contracts until the parties independently agree to terms outside the scope of this Platform.
The Platform does not supervise, direct, control, or monitor any work performed. The Platform does not set rates, schedules, methods, or standards for any task. The Platform does not provide tools, equipment, training, or workspace.
The Company has no obligation to verify, and makes no representations regarding, the accuracy, completeness, truthfulness, reliability, or authenticity of any content, listing, profile, review, bid, or communication posted by any User on the Platform.

2. No Employment or Agency Relationship

THE PLATFORM IS NOT AN EMPLOYMENT SERVICE, STAFFING AGENCY, LABOR BROKER, OR CONTRACTOR MANAGEMENT COMPANY.

Enthusiasts are NOT employees, agents, contractors, subcontractors, representatives, or workers of TaskYea LLC or TaskYea in any capacity whatsoever. Enthusiasts are independent individuals or sole proprietors who operate their own independent businesses and exercise complete autonomy over whether, when, where, and how they perform services.
TaskYea LLC does not employ, engage, supervise, pay, insure, or otherwise retain Enthusiasts. No employment, agency, partnership, joint venture, or franchise relationship exists or is created between TaskYea LLC and any User.
Enthusiasts are solely responsible for: (a) their own business operations, licensing, permits, and registrations; (b) their own taxes, including income tax, self-employment tax, sales tax, and all other applicable taxes; (c) their own insurance, including general liability, workers' compensation, and any other required coverage; (d) compliance with all applicable federal, state, and local laws and regulations; (e) their own tools, equipment, transportation, and supplies.
Clients are solely responsible for: (a) evaluating and selecting Enthusiasts; (b) verifying Enthusiast qualifications, credentials, licensing, and insurance; (c) negotiating and agreeing to terms of service directly with Enthusiasts; (d) any employment or contractor relationship that may arise with an Enthusiast; (e) compliance with applicable employment, tax withholding, and labor laws.

3. Internet Platform Disclaimer

The Platform operates on the public internet. As with any internet-based service:

Content posted by Users — including profiles, task descriptions, bids, reviews, ratings, images, and messages — is generated entirely by Users and may be inaccurate, incomplete, misleading, outdated, or fraudulent. The Company does not author, verify, endorse, or guarantee any User-generated content.
The Company exercises no editorial control over User content prior to posting. While the Company may, in its sole discretion, review, moderate, or remove content that is reported as inappropriate or that violates these Terms, the Company has no obligation to do so and assumes no liability for any content that remains on the Platform.
When potentially harmful, fraudulent, or inappropriate content is reported to us, we will review and take reasonable action as we deem appropriate, which may include content removal, account warnings, suspension, or termination. However, the Company cannot guarantee that all objectionable content will be identified or removed.
Users acknowledge the inherent risks of internet-based platforms, including the possibility of encountering false information, fraudulent actors, or misrepresented qualifications. Users are solely responsible for exercising their own judgment, conducting their own due diligence, and taking appropriate precautions when interacting with other Users.

4. Eligibility

To use the Platform, you must: (a) be at least 18 years of age or the age of legal majority in your jurisdiction; (b) be legally capable of entering into binding agreements; (c) provide accurate, current, and complete registration information; (d) comply with all applicable federal, state, and local laws and regulations; (e) not have been previously suspended, removed, or banned from the Platform.

5. Token System

The Platform uses a virtual token system ("Work Tokens" or "Tokens") to facilitate certain Platform actions. Tokens are required for activities such as posting tasks, placing bids, sending messages, and other Platform features. New accounts receive a complimentary initial grant of Tokens.

Tokens are a digital utility within the Platform only. Tokens have NO cash value, are NOT currency, securities, or property, and cannot be redeemed, exchanged, refunded, or transferred for cash or any other consideration.
Token purchases are FINAL and NON-REFUNDABLE except as required by applicable law or at the sole discretion of TaskYea LLC.
Tokens spent on Platform actions are non-recoverable.
Tokens may not be sold, bartered, traded, gifted, or transferred to any third party or between accounts.
TaskYea LLC reserves the right to modify Token costs, pricing, availability, and policies at any time without prior notice.
Manipulation or abuse of the Token system is strictly prohibited and may result in immediate account termination and forfeiture of all Tokens.

6. User Conduct

You agree to: (a) act honestly, lawfully, and in good faith; (b) provide accurate information; (c) communicate respectfully; (d) honor commitments made through the Platform. You must NOT: post fraudulent, misleading, or false content; harass, threaten, stalk, or intimidate any User; discriminate based on any protected characteristic; create multiple accounts; circumvent Platform security or Token systems; use the Platform for illegal activities; solicit Users to transact outside the Platform to avoid Token costs; post content involving controlled substances, firearms, or regulated items; or engage in data scraping, automated access, or unauthorized collection of Platform data.

7. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, FEATURES, AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TASKYEA LLC DOES NOT WARRANT, REPRESENT, OR GUARANTEE: (A) THE ACCURACY, RELIABILITY, COMPLETENESS, OR AUTHENTICITY OF ANY USER CONTENT, PROFILE, LISTING, BID, REVIEW, OR COMMUNICATION; (B) THE QUALIFICATIONS, IDENTITY, BACKGROUND, LICENSING, OR INSURANCE STATUS OF ANY USER; (C) THE QUALITY, SAFETY, LEGALITY, OR TIMELINESS OF ANY TASK PERFORMED; (D) THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS; (E) THAT ANY RESULTS WILL BE OBTAINED FROM USE OF THE PLATFORM; (F) THE CONDUCT, BEHAVIOR, OR RELIABILITY OF ANY USER. THE COMPANY DOES NOT CONDUCT BACKGROUND CHECKS, CREDENTIAL VERIFICATION, OR SCREENING OF USERS UNLESS EXPLICITLY STATED OTHERWISE. YOU USE THE PLATFORM AND INTERACT WITH OTHER USERS ENTIRELY AT YOUR OWN RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TASKYEA LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (THE "COMPANY PARTIES") BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, PERSONAL INJURY, PROPERTY DAMAGE, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATED TO: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY INTERACTION, TRANSACTION, AGREEMENT, OR DISPUTE BETWEEN USERS; (C) ANY TASK PERFORMED OR NOT PERFORMED; (D) ANY USER CONTENT; (E) UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA; (F) ANY CONDUCT OF ANY USER OR THIRD PARTY; REGARDLESS OF THE THEORY OF LIABILITY. THE TOTAL AGGREGATE LIABILITY OF THE COMPANY PARTIES SHALL NOT EXCEED THE GREATER OF: (I) THE AMOUNT YOU PAID TO TASKYEA LLC FOR TOKENS IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (II) FIFTY DOLLARS ($50.00 USD). YOU EXPRESSLY WAIVE AND RELEASE THE COMPANY PARTIES FROM ANY AND ALL LIABILITY, CLAIMS, CAUSES OF ACTION, OR DAMAGES ARISING FROM OR RELATED TO ANY INTERACTION WITH OTHER USERS, INCLUDING ANY TRANSACTION, SERVICE AGREEMENT, OR TASK PERFORMED.

9. Indemnification

You agree to defend, indemnify, and hold harmless the Company Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms or any applicable law; (c) any content you submit or post; (d) any transaction, interaction, or dispute with another User; (e) any task you post, bid on, perform, or fail to perform; (f) your violation of any third-party rights; (g) any injury, loss, or damage caused to any person or property in connection with any task.

10. Dispute Resolution & Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: Before initiating formal proceedings, you agree to contact support@taskyea.com and attempt informal resolution for at least thirty (30) days. Binding Arbitration: Any dispute not resolved informally shall be resolved by final, binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration shall be conducted on an individual basis by a single arbitrator. The arbitrator's decision is final and binding, and judgment may be entered in any court of competent jurisdiction. CLASS ACTION AND JURY TRIAL WAIVER: YOU AND TASKYEA LLC EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. Opt-Out: You may opt out of this arbitration provision by sending written notice to support@taskyea.com within thirty (30) days of first accepting these Terms. The notice must include your name, account email, and a clear statement of your intent to opt out. Exceptions: Claims within small claims court jurisdiction (on an individual basis) and claims for injunctive relief related to intellectual property infringement are excluded from arbitration.

11. Account Termination

You may close your account at any time. TaskYea LLC may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination for violation of these Terms, all remaining Tokens are forfeited and non-refundable. Sections of these Terms that by their nature should survive termination shall survive, including Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.

12. Intellectual Property

The Platform and all its components — including software, design, text, graphics, logos, icons, and underlying technology — are owned by or licensed to TaskYea LLC and are protected by U.S. and international intellectual property laws. "TaskYea" and related marks are trademarks of TaskYea LLC. You may not use, copy, reproduce, distribute, or create derivative works from any Platform content without express written consent. By submitting content to the Platform, you grant TaskYea LLC a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, distribute, and display such content in connection with operating and promoting the Platform.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles. For disputes not subject to arbitration, you consent to the exclusive personal jurisdiction of state and federal courts located in the State of Maryland.

14. General Provisions

Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and TaskYea LLC. Severability: If any provision is found unenforceable, the remaining provisions continue in full force. Waiver: Failure to enforce any provision is not a waiver. Assignment: TaskYea LLC may assign these Terms without consent; you may not. Force Majeure: TaskYea LLC is not liable for failures due to causes beyond its reasonable control. Modifications: TaskYea LLC reserves the right to modify these Terms at any time. Material changes will be communicated through the Platform or by email. Continued use after posting constitutes acceptance.

Privacy Policy

TaskYea LLC ("Company," "we," "us," or "our") operates the TaskYea platform (the "Platform"). This Privacy Policy describes how we collect, use, disclose, and protect your personal information when you use the Platform. By accessing or using the Platform, you consent to the practices described in this Privacy Policy. If you do not agree, do not use the Platform.

1. Information We Collect

Account Information: Name, email address, password (stored in encrypted form), display name, phone number (optional), profile picture. Profile Information: City, state, ZIP code, address, biographical information, timezone, language preferences, service radius, gender (optional). Task & Transaction Data: Task descriptions, bids, pricing, ratings, reviews, messages, photos, portfolio items, token purchase and transaction records. Automatically Collected Data: Device type, operating system, browser type, IP address, usage patterns, access times, pages viewed, referring URLs, and crash/error reports. Location Data: GPS coordinates (only with your explicit permission), profile address for distance calculations, and IP-based approximate location. Communications: Messages sent through the Platform, support tickets, and feedback.

2. How We Use Your Information

We use the information we collect for the following purposes:

Platform Operations — Account creation and management, user authentication, task matching and display, messaging between users, token processing, distance calculations, notifications, and service delivery.
Platform Improvement — Analytics, performance monitoring, feature development, bug fixes, and user experience optimization.
Safety & Security — Fraud prevention and detection, Terms of Service enforcement, content moderation, dispute investigation, and protection of users and the Platform.
Communications — Transactional messages (account confirmations, task updates), support responses, policy updates, and service announcements.
Legal Compliance — Responding to lawful requests from governmental authorities, complying with applicable laws, and protecting our legal rights.

We do NOT use your personal information for third-party advertising or sell your data to advertisers.

3. How We Share Your Information

With Other Users — Certain profile information, task listings, bids, reviews, and ratings are visible to other users as necessary for the Platform to function. You control much of what is visible through your profile settings.
Service Providers — We use third-party services to operate the Platform, including: Firebase (Google Cloud) for database, authentication, and file storage; payment processors for token purchases; mapping services for geocoding and map display. These providers are contractually obligated to protect your data.
Legal Requirements — We may disclose information when required by law, subpoena, court order, or governmental request, or when we believe disclosure is necessary to protect the rights, safety, or property of TaskYea LLC, our users, or the public.
Business Transfers — In connection with a merger, acquisition, reorganization, bankruptcy, or sale of assets, your information may be transferred as part of that transaction. We will notify you of any such change.

WE DO NOT SELL, RENT, OR TRADE YOUR PERSONAL INFORMATION to third parties for monetary consideration, cross-context behavioral advertising, or marketing purposes.

4. Data Security

We implement industry-standard security measures to protect your personal information, including: encrypted authentication (Firebase Auth), HTTPS/TLS encryption for data in transit, Firestore security rules for data access control, and administrative access controls. However, no method of transmission over the internet or electronic storage is 100% secure. While we strive to use commercially acceptable means to protect your information, we cannot guarantee absolute security. You are responsible for maintaining the confidentiality of your account credentials.

5. Data Retention

Active Accounts: Your data is retained for as long as your account remains active.
Deleted Accounts: Upon account deletion, personal information is removed within 90 days. Some data may be retained in anonymized form for analytics purposes.
Transaction Records: Token purchase records and transaction history may be retained for up to 7 years for legal, accounting, and compliance purposes.
Legal Obligations: We may retain certain information as required by applicable law, regulation, or legal proceeding.

6. Your Privacy Rights

All users may access, update, correct, or delete their personal information through account settings or by contacting us at support@taskyea.com. State-Specific Privacy Rights: California (CCPA/CPRA): Right to know what personal information is collected, right to delete, right to correct, right to opt-out of sale/sharing, right to limit use of sensitive personal information, and right to non-discrimination for exercising your rights. Virginia (VCDPA), Colorado (CPA), Connecticut (CTDPA), Utah (UCPA), Texas (TDPSA), Oregon (OCPA), Montana (MCDPA): Right to access, correct, delete, and obtain a portable copy of your data; right to opt-out of targeted advertising, sale of personal data, and profiling. Additional States: Iowa, Indiana, Tennessee, Delaware, New Hampshire, New Jersey, Nebraska, Kentucky, Maryland, Minnesota, Rhode Island, and other states with consumer privacy legislation — similar rights apply as provided by applicable law. To Exercise Your Rights: Send a request to support@taskyea.com specifying your request. We will verify your identity and respond within 45 days (or as required by applicable law). You may designate an authorized agent to make requests on your behalf.

7. Children's Privacy

The Platform is not directed to, and we do not knowingly collect personal information from, individuals under the age of 18. If you are a parent or guardian and believe that your child has provided personal information to us, please contact us at support@taskyea.com. If we learn that we have collected personal information from a child under 18, we will take steps to delete that information promptly.

8. Cookies & Tracking

The Platform may use cookies, local storage, and similar technologies for essential functions such as authentication, session management, and user preferences. We do not use third-party advertising cookies or cross-site tracking technologies. You may adjust your browser or device settings to reject cookies, but some Platform features may not function properly without them.

9. Location Data

We use location information to display nearby tasks, calculate distances, and show maps. GPS-based location is collected only with your explicit permission and you may revoke this permission at any time through your device settings. The Platform also functions using city, state, and ZIP code information from your profile without GPS.

10. Changes to This Policy

We may update this Privacy Policy from time to time. Material changes will be communicated through the Platform or by email. Your continued use of the Platform after changes are posted constitutes acceptance. We encourage you to review this Privacy Policy periodically.
